Terms of Service — Zephren

1. Service provider

The Zephren service ("Service") is provided by ZEPHREN S.R.L., registered office at B-dul Libertății, no. 38, ap. 4, Bușteni, Prahova county, Romania. Company ID (CUI): 54561142 | Trade Registry: J2026027529009.

2. Acceptance of Terms

By creating an account or using the Service, you accept these Terms and the associated Privacy Policy.

2.bis Pre-contractual information (e-commerce — Law 365/2002)

Pursuant to art. 8 of Romanian Law no. 365/2002 on electronic commerce, we inform you before the conclusion of the contract:

• Technical steps: (1) choose a plan on the pricing page → (2) create an account or sign in → (3) enter billing details on the secure Stripe page → (4) confirm payment → (5) receive a confirmation email. The contract is concluded at the moment of payment confirmation.
• Contract storage: these Terms (versioned) and the subscription confirmation are archived by ZEPHREN and remain accessible in "Settings → Plan" and via the confirmation email; you can download them anytime.
• Error correction: before confirming payment you can go back and edit the entered data (the "Back" button on the Stripe page). After confirmation, corrections can be requested at billing@zephren.ro.
• Contract language: the contract is concluded in Romanian (the English version is for information only).
• Codes of conduct: ZEPHREN does not adhere to a specific applicable code of conduct.

3. Nature of the service

Zephren is a software tool for calculating building energy performance, compliant with Mc 001-2022, Ord. MDLPA 16/2023, EPBD 2024/1275, and Law 238/2024. Generated outputs (CPE, audit report, renovation passport) are professional aids — final responsibility for input data accuracy and result interpretation lies with the certified energy auditor who signs the document.

AI functions and AI literacy (EU AI Act 2024/1689 Art. 4): Zephren integrates artificial intelligence functions (invoice/CPE OCR, envelope suggestions, narrative generation, chat assistant) provided through third-party language models. These functions are ASSISTIVE (minimal risk per Art. 6 AI Act) and do NOT substitute the auditor's professional judgment. The user is obliged to manually verify all AI outputs before including them in official documents (CPE, audit). Details in the "AI Use Policy" (available on request via legal@zephren.ro).

4. Accounts and subscriptions

The Service is offered in subscription tiers (Pricing v8.0, effective 22 May 2026):

• ZEPHREN Free — 0 RON: Steps 1-4 unlimited, AI Pack included (no monthly limit), demos M1-M5, Steps 5-7 only on demos.
• ZEPHREN CPE — 599 RON/month: Steps 1-6 official CPE + MDLPA Annex 1+2 + 40mm stamp + unlimited AI Pack + unlimited Cloud sync.
• ZEPHREN CPE + Audit — 999 RON/month: full CPE + Step 7 Mc 001-2022 audit + nZEB conformity report (Art. 6 para. 1 letter c) + all building types + hourly EPW climate + priority support 24h.
• ZEPHREN Advanced Analysis — 1,499 RON/month: full CPE + Audit, plus Step 8 (18 advanced modules) + BIM + Pasivhaus + MonteCarlo.

VAT: ZEPHREN S.R.L. is not VAT-registered under the Romanian small business exemption (Tax Code Art. 310 — turnover below395,000 RON/year ≈ 79,000 EUR, threshold raised from 300,000 RON effective 1 September 2025). Listed prices are final, with no VAT added. Any change upon exceeding the 395,000 RON legal threshold will be announced in advance, by email. Only operations with the place of supply in Romania are counted toward the threshold.

5. Cancellation and refunds

Cancellation of the subscription is possible anytime, without penalties, from the Stripe Customer Portal admin panel (link in Settings → Plan → "Manage subscription"). Cancellation takes effect at the end of the current paid cycle — benefits remain active until the end of the paid month.

No proration / no retroactive refund: upon cancellation, the partial month already consumed is not refunded. There is no retroactive refund for already-billed subscription periods, per art. 16 letter m) of Romanian GEO no. 34/2014 on consumer rights (as amended by GEO 141/2021) — digital services whose performance began with the consumer's express prior consent and confirmation of waiving the withdrawal right upon full service execution.

B2B exception: for legal entity clients (audit firms), consumer withdrawal rights do not apply. Cancellations follow standard commercial terms.

Refund in case of technical error: if the Service was unavailable over 24h continuously (downtime confirmed by ZEPHREN in writing, via email at help@zephren.ro, and/or via in-app notification) and the user could not issue planned CPEs, ZEPHREN may grant a credit or pro-rata subscription extension (request at billing@zephren.ro).

Plan transitions: upgrade between plans takes effect immediately (Stripe Customer Portal calculates pro-rata for the current month). Downgrade takes effect at the end of the current cycle (NOT mid-cycle, to avoid blocking access to features already used).

6. Service availability (SLA)

ZEPHREN commits to a target availability of ≥99.5% calculated monthly, excluding planned maintenance windows announced at least 48 hours in advance.

Periods of unavailability are officially confirmed by ZEPHREN through its official channels: written confirmation via email at help@zephren.ro and/or in-app notification. Major incidents are communicated via email and in-app notification.

Downtime compensation: if monthly availability falls below 99% (over 7h 12min cumulative downtime), users with active subscription can request a pro-rata credit or subscription extension. Request at billing@zephren.rowithin 30 days of the incident.

7. Intellectual property

Source code, design, logo, and calculation algorithms are the property of ZEPHREN S.R.L. The user receives a non-exclusive, non-transferable license for professional use. Data entered by the user remains their property.

8. Limitations of liability

The Service is provided "as is". ZEPHREN S.R.L. is not liable for: (a) errors in data entered by the user, (b) incorrect interpretation of results, (c) punctual service interruptions caused by external providers (Vercel, Supabase, Stripe, AI model vendor).

For legal entity clients (B2B), maximum total liability is limited to the amount paid in the last 12 months of subscription. For consumers (natural persons, including PFA sole traders), NO limitations apply that would contravene Romanian Law 193/2000 on unfair contractual terms or art. 1.350-1.353 of the Civil Code on contractual liability. These limitations do not apply in case of fraud or gross negligence by ZEPHREN (art. 1.355 Civil Code).

9. Acceptable use

The user commits not to: (a) use the Service for illegal purposes, (b) attempt to compromise security, (c) use automated scripts for massive API calls, (d) enter client data without their GDPR consent.

10. Termination

ZEPHREN S.R.L. may suspend accounts in case of Terms violation. Upon termination, the user's personal data will be anonymized or deleted per the Privacy Policy.

11. Applicable law and dispute resolution

This contract is governed by Romanian law. Disputes are resolved through the following channels, in order:

• (a) Amicably — request to legal@zephren.ro with a 30-day response deadline.
• (b) Consumers (natural persons, including PFA sole traders): per Art. 113 para. (1) letter e) of the Romanian Code of Civil Procedure, the competent court is that of the consumer's domicile. Alternatively, the Romanian Consumer Protection Authority (ANPC) provides Alternative Dispute Resolution (ADR) at sal.anpc.ro.
• (c) Legal entity clients (B2B audit firms): courts with territorial jurisdiction per the Romanian Code of Civil Procedure, with the option of CCIR Prahova commercial arbitration by subsequent written agreement.
• (d) Online: EU Online Dispute Resolution (ODR) platform ec.europa.eu/consumers/odr per EU Reg. 524/2013.
